Kleo Creator
Agreement.

This agreement is between you (the creator) and Kanaky Tech, a New Zealand sole trader, NZBN 9429053554017, which operates Kleo at kleooai.com ("Kleo", "we", "us"). It covers the Kleo Creators program. The Kleo Terms of Service (kleooai.com/terms.html) and Privacy Policy (kleooai.com/privacy.html) also apply to your Kleo account. If this agreement and the Terms disagree about the program, this agreement wins.

You accept this agreement when you tick "I accept the Kleo Creator Agreement" on the application form, or when you reply "I accept" to the message from Kleo that links to it.

1. Who can join

1.1 You must be at least 18 years old and able to enter a contract where you live.

1.2 You must have paid Kleo for a credit pack or a plan before you apply. A refunded or disputed payment does not count.

1.3 You need one public account on Instagram, TikTok, YouTube or X where you publish your own AI video or AI art. To verify it, you place a one-time code from Kleo in that account's bio until we confirm it.

1.4 One person, one program seat. Your seat is joined to one Kleo account, one social account, and the devices, network, payment method and e-mail address you use with Kleo.

1.5 We review every application by hand and let you know our answer. We may refuse an application without giving a reason. We refuse, among others, accounts younger than 6 months, accounts that changed username more than twice, accounts with bought followers or views, and accounts that sell accounts, credits or giveaways.

2. What you owe

2.1 Eligible posts. Each month, publish at least 2 eligible posts at the Creator level and at least 4 at the Partner and Pro partner levels.

2.2 An eligible post:

• shows video or pictures you made with your own Kleo account (we check them against your Kleo Library);
• shows the "Made with Kleo" mark supplied by Kleo (the corner logo or the end card);
• tags @kleooai (or Kleo's account on that platform) and uses the hashtag #kleo;
• carries your Kleo link in the caption, the description or your bio;
• is clearly disclosed as sponsored (section 2.3);
• stays public for at least 30 days;
• follows section 5.

2.3 Disclosure. You receive credits and possibly money from Kleo, so your posts are advertising. Mark every post with the platform's paid-partnership or branded-content label where it exists, or with "#ad" or "Sponsored by Kleo" at the start of the caption. You are responsible for following the advertising and consumer laws that apply to you, such as the FTC Endorsement Guides in the United States, the CAP Code in the United Kingdom and the advertising codes in New Zealand and Australia.

2.4 Honest claims. Say only true things about Kleo. Do not promise results, prices or features Kleo does not offer.

2.5 Send us the link to each post, so we can count it.

3. Levels and what Kleo gives

3.1 Creator. If you have a Kleo plan, in every month in which you made your eligible posts we add 50% of your plan's monthly credits as program credits. You earn view bonuses (section 4.1) and 25% commission (section 4.2).

3.2 Partner. After 2 months as a Creator, when your eligible posts reach 30,000 views in total or 3 people who came through your link have paid Kleo, we may move you to Partner. While you pay for Lite or higher, we add program credits each month so that you receive Starter's 50 credits in all, and in every month with your 4 eligible posts we add 50% of those 50 as program credits. Commission is 30%. We may feature your work on Kleo's channels and give you early access to new templates.

3.3 Pro partner. When your eligible posts reach 150,000 views in one month, or 10 people who came through your link pay Kleo in one month, we may move you to Pro partner. You receive a Kleo Pro plan at no charge: Pro access and 110 program credits each month (section 4.4), renewed each month while you hold the level. You no longer need to pay for a plan of your own. Commission is 35%.

3.4 Moving down. A month in which you miss your eligible posts moves you down one level from the next month. Two such months in a row end your place in the program; your Kleo account and any plan you pay for continue as normal.

3.5 We decide each level change at the start of a month and tell you by message or e-mail.

4. Rewards

4.1 View bonuses. For each eligible post, we read its public view count 7 days after it went up, and add, once per post, the highest bonus it reached:

View bonuses are capped at 150 credits per calendar month. If the platform hides the count, send us a screenshot of the post's insights.

4.2 Commission. You receive a personal Kleo link. For 12 months after a person opens their first Kleo account through your link, you earn your level's commission on every payment that person makes to Kleo, after refunds, chargebacks, payment fees and taxes. Commission does not apply to accounts that share a device, network, payment method or e-mail address with yours, or to people who already had a Kleo account.

4.3 How commission is paid. For each payment you choose:

• Kleo credits at once, worth 1.5 times the commission's euro value at Kleo's pack prices; or
• cash, 60 days after the payment, if it has not been refunded or disputed, by PayPal or Wise each month once your cash balance is at least EUR 50. A smaller balance carries over.

4.4 Program credits (the +50%, view bonuses, commission taken as credits, and the monthly credits of the Partner and Pro partner levels):

• are used inside Kleo like other credits, under the Kleo Terms;
• have no cash value, cannot be sold or transferred, and are not refunded;
• expire 90 days after we grant them;
• are spent before your purchased credits, because Kleo always spends the credits that expire first.

5. Content rules

5.1 Every post must follow the Kleo Terms and the rules of the platform where you publish it.

5.2 Never post, or make with Kleo for the program:

• sexual content, or any content involving minors in a sexual or harmful way;
• hate, harassment, threats, or content that targets a private person;
• a real person's face or voice without that person's consent, or content that makes viewers believe a real person did or said something they did not;
• other people's copyrighted material you have no right to use;
• spam, scams, or content that breaks the law.

5.3 We may ask you to edit or remove a post that breaks this section. Such a post earns nothing.

6. Fair play

6.1 Views, likes, comments and sign-ups must come from real people. Bought views, bots, engagement pods, view farms, fake or paid sign-ups, and sign-ups by yourself or your own other accounts are not allowed.

6.2 You never sell, give away or promise Kleo credits, accounts, plans or discounts, and you never ask anyone for money in Kleo's name. You do not speak for Kleo. The list of real Kleo creators is on kleooai.com/creators.

6.3 If you break section 5 or 6, or you dispute or charge back a payment to Kleo, we may end this agreement at once, remove every program credit, and cancel every commission not yet paid.

6.4 We may check views, sign-ups and payments with the data available to us and ask you for platform insights. Our count is final unless you show us it is wrong.

7. Your work

7.1 You own what you create. Kleo claims no ownership of your posts.

7.2 You give Kleo a non-exclusive, worldwide, royalty-free licence, for 24 months from each post, to repost, embed, show and share that post, with credit to you, on Kleo's own social accounts, website, app and newsletters. Kleo uses a post in paid advertising only with your written consent.

7.3 You confirm that you have the rights needed to grant this licence, including for any music, voice or picture you added that Kleo did not make.

8. Our relationship

8.1 You are an independent creator, not an employee, agent or partner of Kanaky Tech.

8.2 There is no exclusivity. You may work with other AI tools and brands.

8.3 You are responsible for your own taxes on what you receive. Before we pay cash commission we may ask for your legal name, country, and the details we need for our records.

9. Changes and ending

9.1 Either of us may end this agreement at any time by message or e-mail. Commission already earned is still paid under section 4.3, unless the agreement ended under section 6.3. Program credits stay in your account until they expire, unless the agreement ended under section 6.3. Your plan is a normal Kleo subscription and you cancel it in your Kleo account.

9.2 We may change this agreement or the program. We tell you at least 14 days before a change takes effect, and you may end the agreement before then. Rewards already earned are kept.

9.3 We may pause or close the program. Credits already granted and commission already earned stay yours under the rules above.

10. Liability

10.1 The program is offered as it is. We do not promise any number of views, followers, sign-ups or earnings.

10.2 To the extent the law allows, Kanaky Tech's total liability to you under this agreement is limited to the commission it owes you. Nothing in this agreement limits liability that cannot lawfully be limited.

11. Law

New Zealand law governs this agreement, subject to any mandatory protection that applies where you live. Contact us first so we can try to resolve a dispute.
